On peut le dire… Clairement, le contrat de franchise est le document le plus important d’une franchise. Il doit reprendre toutes les clauses du futur partenariat.

Toutes les clauses, des plus importantes aux moins importantes, toutes les lignes sont très importantes et doivent « toutes » être analysées. Toutes doivent apparaitre avec grand sérieux de la part du franchiseur, a validé par le futur franchisé.

Il n’y a pas de lois qui régissent le contenu du contrat, chacun peut y inclure les articles qu’ils souhaitent, et c’est là qu’il faut être vigilant. Car chaque franchiseur va « blinder » son contrat pour se protéger.

Beaucoup de franchiseurs respectent les codes de la franchise, et proposent un contrat bien verrouillé et sérieux, mais beaucoup aussi, par manque de compétences, offrent des contrats mal réalisés.

Le problème est, qu’un partenariat basé sur plusieurs années, est un partenariat mal engagé, et qui peut faire beaucoup de dégâts dans le futur, si on commence un partenariat sur un contrat est mal scellé.

 

Comment cela se passe :

  • Pour avoir le contrat de franchise, il faut signer le DIP, car aucune franchise, ou très peu accepteront de vous le fournir sans que vous signiez, ce contrat de franchise sera dans le DIP.
  • Il faudra donc me transmettre la partie contrat, que je vais étudier.
  • Suite à sa lecture, mais aussi à mes recherches, je vais vous envoyer une série de questions à envoyer au franchiseur. Je ne pourrai pas lui envoyer moi-même, sinon ses réponses retours ne seront pas authentiques et honnêtes, sachant que vous êtes suivi par un consultant.
  • Il vous renverra toutes ses réponses, et suite à celles-là, il faudra lui renvoyer mes observations pour éclaircir les points que j’aurais soulevés.

Il y a un vrai travail de fond et de vérification pour être sûr que la franchise est parfaitement sérieuse, mieux, qu’elle est performante.

Démarrer un partenariat basé sur plusieurs années, il faut que les fondements soient clairs et précis. Car en cas de problème, c’est le contrat qui fera foi, et vous serez débouté de vos demandes devant un tribunal. Il faut être très vigilant de ce que vous signerez.

En me laissant étudier votre contrat, vous aurez l’assurance que les closes sont correctes et non abusives. Vous pourrez investir sur une base seine.
